Creator Agreement
Last updated: 2026-05-13. This is a v1 draft pending review by counsel before launch.
This agreement applies to anyone who sells books on Loni — solo authors and publishers. It complements our Terms of Service and Privacy Policy. When something in this document conflicts with the Terms of Service, this document wins for creator-specific topics.
1. Who this covers
You are a "Creator" on Loni once we approve your application at /creator/apply and create your Creator workspace. The agreement covers you and, if you are a Publisher with team members, everyone you invite to that workspace.
2. Your content, your rights
You keep ownership of every book you upload. We don't take any rights you didn't grant us.
By uploading a book to Loni you grant us a non-exclusive, worldwide license to:
- host, display, and sell the book on the Loni website and mobile app;
- generate and deliver a sample (first 5% of the publication) to potential buyers;
- convert formats as needed (for example, DOCX manuscripts are converted to EPUB server-side; a print-master PDF is derived for paperback or hardcover);
- deliver the book to readers who purchase it, including via our print partners for physical copies;
- show the cover, title, description, and metadata in catalog listings, search results, and marketing on the platform.
Loni does NOT require exclusivity. You can publish the same book on other platforms.
3. What you promise
When you upload a book, you confirm that:
- you own the rights to the content, or you hold a written license that gives you the right to sell it on Loni;
- nothing in the book infringes anyone else's copyright, trademark, privacy, or other rights;
- the book complies with Côte d'Ivoire law;
- the metadata (title, author name, description, age rating, language) is accurate.
If a rights holder credibly tells us your book infringes their work, we may remove it while we investigate. You can appeal by email — see §5.
4. Revenue and payouts
The default split for v1, in XOF:
| Order type | Creator | Platform | Print partner | |---|---|---|---| | Digital (EPUB, PDF) | 70% | 30% | — | | Physical (paperback, hardcover) | 70% | 15% | 15% |
Splits may change in the future; if we change the percentages, the new split applies only to books fulfilled after the change. Books already sold settle at the split that was in force at fulfillment.
Payouts work like this:
- you request a payout from your creator dashboard at any time, for any amount up to your available balance;
- an administrator reviews the request, transfers the money outside Loni (Mobile Money, bank wire, or another method you set up at signup), and marks the request paid in our system;
- we record the transfer reference and a receipt photo on the payout request for audit.
You are responsible for your own taxes on the income you earn through Loni. We do not provide tax advice. Where local law requires us to withhold a tax (for example, Côte d'Ivoire withholding tax on royalties), we will and we will tell you when we do.
5. Moderation and takedowns
We review every new book before it appears in the catalog. Reviewers check for content rule violations, metadata accuracy, and obvious copyright concerns. Most reviews finish within a few business days.
After publication, we may take down a book if:
- a rights holder files a credible infringement claim;
- the book violates our content rules or applicable law;
- you breach this agreement.
When that happens we tell you why. To dispute a takedown or a moderation decision, email legal@helloloni.com with the book id and your case. We respond within five business days.
6. Leaving Loni
You can stop selling at any time:
- from the creator dashboard, set any book to "withdrawn" and it stops appearing in the catalog;
- to close your creator workspace entirely, contact us at legal@helloloni.com.
When you leave or a book is withdrawn:
- readers who already bought the book keep access. Their licenses remain valid, and we keep the file available so they can re-download to a new device;
- outstanding payouts are settled within 60 days of departure;
- order, ledger, and audit records are kept for accounting and tax reasons even after your workspace closes (the Privacy Policy describes retention).
We may also end this agreement on 30 days' notice if you breach it, or immediately if your account is suspended for fraud, repeated infringement, or violation of law.
7. Standard provisions
- Marketplace, not co-publisher: Loni is a platform that sells your work for you. We do not edit, develop, or claim authorship of your content.
- General terms apply: the Terms of Service — account security, acceptable conduct, disclaimers, limitation of liability — also apply to creators.
- Changes: we may update this agreement. Material changes are announced by email and on the site at least 14 days before they take effect.
- Governing law: Côte d'Ivoire law. Disputes are resolved by the competent courts of Abidjan unless mandatory law provides otherwise.
